Effective Date: September 5, 2024

At HardshipHero, LLC (“HardshipHero,” “we,” “us,” or “our”), we are committed to conducting business ethically and responsibly. We expect the same high standards from our suppliers, vendors, and third-party service providers (“Suppliers”). This Supplier Code of Conduct outlines the standards and expectations for all suppliers working with us, ensuring alignment with our values, business practices, and legal requirements.

Our goal is to build long-term partnerships based on trust, transparency, and mutual respect. By adhering to this Supplier Code of Conduct, you agree to meet our expectations in the following key areas.

1. Compliance with Laws and Regulations

Suppliers must comply with all applicable national, state, and local laws, regulations, and ordinances, including but not limited to:

  • Labor Laws: Comply with labor laws governing wages, working hours, benefits, and worker health and safety.

  • Environmental Regulations: Ensure compliance with environmental protection laws, including waste management, emissions, and resource usage.

  • Anti-Corruption and Anti-Bribery: Abide by all laws related to anti-corruption and anti-bribery, including the U.S. Foreign Corrupt Practices Act (FCPA) and other relevant regulations.

2. Human Rights and Fair Labor Practices

We expect all suppliers to treat their employees with respect and dignity, adhere to fair labor practices, and uphold basic human rights in their operations. Specifically, we expect suppliers to:

a. Prohibit Child Labor

  • Suppliers must not employ individuals below the legal minimum age for employment, and in no case should children under the age of 15 be employed (or the age prescribed by local law, if higher).

b. Prohibit Forced Labor

  • Suppliers must ensure that no form of forced labor, human trafficking, or involuntary servitude is used in their operations.

c. Provide Fair Wages and Working Conditions

  • Suppliers must provide wages, benefits, and working hours that meet or exceed local laws and industry standards. They must also maintain a safe and healthy working environment for their employees.

d. Non-Discrimination

  • Suppliers must not engage in any form of discrimination based on race, color, religion, gender, age, sexual orientation, nationality, disability, or any other protected characteristic.

3. Health, Safety, and Environment

Suppliers are expected to prioritize the health and safety of their employees and the communities in which they operate. They must also operate in an environmentally responsible manner.

a. Safe Working Conditions

  • Suppliers must ensure that their employees have access to clean, safe, and healthy working conditions. Adequate safeguards must be in place to prevent workplace accidents and injuries.

b. Environmental Responsibility

  • Suppliers should minimize their environmental impact by reducing energy consumption, waste, and emissions. Compliance with environmental laws and best practices is required to preserve natural resources and prevent pollution.

4. Ethical Business Practices

We expect our suppliers to conduct their business with integrity and uphold the highest ethical standards.

a. Anti-Bribery and Anti-Corruption

  • Suppliers must not engage in bribery, corruption, or unethical practices to gain any unfair advantage. Suppliers must adhere to all applicable anti-corruption laws, including the Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act.

b. Conflicts of Interest

  • Suppliers must avoid conflicts of interest and disclose any situations that may create a conflict. Any financial or personal interest that could influence a supplier’s ability to act impartially must be reported to HardshipHero immediately.

c. Confidentiality

  • Suppliers must protect all confidential information related to HardshipHero, including trade secrets, financial data, customer information, and business plans. Suppliers are prohibited from using this information for their own benefit or disclosing it to third parties without our written consent.

d. Intellectual Property

  • Suppliers must respect the intellectual property rights of HardshipHero and other third parties. Unauthorized use of intellectual property, trademarks, or proprietary information is prohibited.

5. Reporting and Whistleblower Protection

Suppliers must provide their employees with a means to report unethical or unlawful behavior without fear of retaliation. Suppliers are encouraged to report any unethical conduct, non-compliance with this code, or illegal activities that occur in connection with their business relationship with HardshipHero.

  • Whistleblower Protection: Suppliers must protect whistleblowers from retaliation and ensure that any reports of misconduct are addressed fairly and confidentially.

6. Monitoring and Compliance

HardshipHero reserves the right to monitor and assess supplier compliance with this Supplier Code of Conduct. Suppliers may be required to provide information, certifications, or reports that demonstrate their adherence to these standards.

a. Audits

  • We may conduct periodic audits or assessments to ensure compliance. Suppliers must provide access to relevant records and cooperate fully during the audit process.

b. Non-Compliance

  • Non-compliance with this code may result in corrective action, including but not limited to termination of the business relationship. We expect suppliers to promptly address any violations or areas of concern identified during audits or assessments.

7. Continuous Improvement

We encourage suppliers to continuously improve their ethical, labor, and environmental practices. We are committed to working with suppliers who share our values and strive for higher standards in these areas.
